This is a superseded version and may differ from the one now in force.
Effective date: 1 September 2026
These Terms of Service (the "Terms") set out the rights, obligations and responsibilities of Patty Co., Ltd. (the "Company") and users in connection with the use of Patty Code ("Patty Code" or the "Service"), an AI-based development assistance service provided by the Company.
> This English text is a reference translation of the Korean original. If the two versions differ in meaning, the Korean version governs.
The purpose of these Terms is to set out the conditions of use of Patty Code, the rights and obligations of the Company and users arising from use of the Service, the characteristics of the AI features, the handling of user content and output, restrictions on use of the Service, paid services, and liability.
The terms used in these Terms have the following meanings.
"Service" means the artificial intelligence based work assistance service that the Company provides under the name Patty Code, together with the software, tools, features, systems and related services included in or connected to it.
"User" means an individual who uses the Service under these Terms.
"Customer" means an individual, corporation or other entity that enters into a service agreement with the Company, or applies to use the Service, for the business of that person or of the organisation to which they belong.
"Consumer" means a user or customer who is a consumer as defined by applicable law.
"Organisation" means a company, institution, team or other business unit that a Customer creates or manages within the Service.
"Administrator" means a user who has been granted authority by a Customer to manage the users, access rights, execution rights, policies or other service settings of an Organisation.
"Connected environment" means the devices, storage, projects, files, applications, servers, terminals, accounts or other systems that a user connects to the Service or allows the Service to access.
"User content" means source code, files, documents, prompts, messages, data, repository information and other materials that a user inputs, transmits, uploads or connects to the Service, or that the Service accesses under the user's authority.
"Output" means the content, information, suggestions, analysis results and other results that the Service generates or provides in response to a user's input or request.
"AI features" means features that generate, analyse or transform content, or assist with work, using one or more artificial intelligence models or related technologies.
"Work" means the Service generating or processing content, or interacting with a connected environment or a third-party service, at a user's request, setting or authorisation.
"Third-party services" means cloud, storage, authentication, payment, development tool, external API or other services provided by a third party rather than the Company, which may be connected to the Service or used in the course of providing it.
Terms not separately defined in these Terms follow applicable law and ordinary commercial practice.
These Terms apply to the use of Patty Code.
Even where the Company operates separate integrated Patty terms of service, these Terms take precedence as to the use of Patty Code.
The Company may apply an order form, service level agreement (SLA), data processing agreement (DPA), enterprise agreement or other individual contract depending on the plan, deployment model or the Customer's requirements.
Where these Terms conflict with an individual contract under the preceding paragraph, that individual contract prevails.
The Company's Privacy Policy and applicable law govern the processing of personal data.
Where applicable law requires that terms more favourable to a Consumer than these Terms apply, that law prevails.
The Company posts these Terms in an appropriate location within the Service or on a website it operates so that users can review them easily.
The Company displays the important content of these Terms so that users can easily recognise it, or provides the necessary explanation, in accordance with applicable law.
A person who agrees to these Terms on behalf of a corporation or other organisation confirms that they have lawful authority to bind that organisation to these Terms or the related contract.
The service agreement is formed when a user agrees to these Terms, applies to use the Service by the procedure the Company specifies, and the Company accepts that application.
Where the Service is provided under a separate order form or enterprise agreement, the service agreement is formed at the time specified in that contract.
The Company may provide certain features of the Service on an account or organisation basis, depending on the nature of the Service, the plan or the contract.
The Company may refuse an application to use the Service, or defer acceptance, in any of the following cases.
A user must be a person who can enter into a valid contract under applicable law.
Where a minor under 19 years of age uses the Service or enters into an agreement for a paid service, the consent of their legal representative must be obtained in accordance with applicable law.
The Company may carry out a procedure to confirm the consent of a minor's legal representative where applicable law so requires.
A service agreement entered into by a minor without the consent of their legal representative may be cancelled by the minor or the legal representative in accordance with applicable law.
However, cancellation may be restricted where a ground set out in applicable law exists, such as where the minor led the Company to believe that the legal representative had consented or that the minor was of age.
A user who uses the Service for the business of an organisation must comply with the authority granted to them and with that organisation's internal policies.
A user must provide accurate account information and keep it up to date.
A user must securely manage passwords, API keys, access tokens and other credentials.
Except where the Company has separately permitted it, a user may not transfer, sell or lend their account to a third party.
A user must notify the Company without delay if unauthorised use of their account or a security breach is suspected.
The Company may take measures such as additional authentication, session termination, credential changes or access restrictions for the security of the Service.
Where the Service is used on an organisation basis, the Customer may designate Administrators.
Within the authority granted by the Customer, an Administrator may manage the following.
The Customer is responsible for ensuring that the designation and authority of Administrators are appropriately maintained.
Users of an organisation account understand that the Customer or an Administrator may manage service usage records and related data within the organisation in accordance with applicable law and the organisation's internal policies.
A user must hold lawful rights to the source code, repositories, files and development environments that they allow the Service to access.
A user must grant the Service an appropriate scope of access, taking into account their business purpose and security policy.
Where an organisation's code or development environment is connected to the Service, the Customer must confirm that the connection and the grant of rights comply with applicable law and the organisation's internal policies.
The Service interacts with a development environment within the scope of the rights granted by the user and the policies configured in the Service or the organisation.
A user may connect files, repositories, devices, accounts, applications, servers or other systems to the Service, or allow the Service to access them.
A user must hold lawful rights of access to and use of the information and environments they connect to the Service, and must grant permissions within a scope suited to their purpose and security policy.
At the user's request, setting, approval or the organisation's policy, the Service may generate or process content in a connected environment, or change files, run commands, invoke tools and perform other work.
Before approving work or permitting automatic execution, a user must confirm the scope of that permission and its expected impact.
The Company may restrict particular access, permissions, commands, tools or work for the security and stability of the Service, for legal compliance, or to prevent fraudulent use.
Output the Service provides, and work it performs, may be generated or processed by automated means including artificial intelligence.
Output or work may be inaccurate or incomplete, and may contain errors, omissions, security vulnerabilities, potential infringement of rights, or content that differs from the user's intent.
The same or similar input may produce different results, and the same or similar output may be provided to other users.
Before using output or work, or applying it to an important environment, a user must carry out the review, testing and verification appropriate to the purpose and risk of that use.
The Company may create and manage records of service use and the performance of work in order to provide the Service, maintain security, respond to faults, prevent fraudulent use and confirm compliance with these Terms.
The specific processing and retention period of those records follow the Privacy Policy or an individual contract with the Customer.
Even where the Service provides undo, checkpoint or recovery features, it does not guarantee that all data, changes or the state of a connected environment will be fully restored.
A user must maintain separate backup and recovery arrangements for important information and systems.
The Company may add to, change, restrict, temporarily suspend or discontinue all or part of the Service for its improvement, for technical or operational need, for security, for legal compliance, or because of changes to third-party services.
Where a change materially affects users' rights or the essential conditions of a paid service, the Company gives the notice required by applicable law or the individual contract.
Where advance notice is impracticable, such as for urgent security response, a fault, or a requirement of law or a competent authority, the Company takes the necessary measures without advance notice and may give notice afterwards where possible.
Patty Code is a generative artificial intelligence service that uses one or more artificial intelligence models or related technologies.
In accordance with applicable law, the Company provides the notice or labelling required for users to recognise that the Service operates on the basis of artificial intelligence and that a result was generated by generative artificial intelligence.
Where applicable law requires separate labelling on the service screen or on the output itself, the Company takes the necessary measures in addition to posting these Terms.
A user retains the rights they hold in their user content, and the Company does not acquire ownership of user content, save for the limited licence set out in these Terms.
A user must hold lawful authority to provide user content to the Service or to have the Service access and process it.
The user grants the Company a non-exclusive, royalty-free licence to host, reproduce, process, transmit and display user content to the extent necessary to provide, operate, maintain and protect the Service, to carry out the user's requests, to respond to faults, to investigate fraudulent use and to confirm compliance with these Terms. That licence subsists only for the period necessary for those purposes.
The licence under the preceding paragraph does not by itself permit the Company to use user content for AI model development or training. Processing of user content for AI model development and training is governed by Article 5.
The Company's Privacy Policy, a data processing agreement with the Customer where required, and applicable law govern the processing of user content that contains personal data.
As between the Company and the user, the user may use the output provided to them, to the extent this does not conflict with applicable law or the rights of third parties.
Except where separately agreed, the Company does not assert exclusive rights for the purpose of restricting the use of output as such.
Whether copyright, patent rights or other intellectual property rights arise in AI-generated output, and to whom they belong, may vary according to the degree of human creative contribution, the content of the output and applicable law.
These Terms are not construed as creating intellectual property rights that do not arise under applicable law.
The Service or its output may include open source software or components subject to third-party rights.
Where a separate licence applies to particular code or components, that licence applies.
The Company does not warrant that all output is free of conflict with third-party intellectual property rights or open source licences.
Before publishing, distributing or commercially using output, a user must confirm the licences and rights required for their purpose.
The Service may integrate with cloud, storage, authentication, payment, development tool or other third-party services in order to provide the Service or perform a feature the user has requested.
Where a user directly connects a third-party repository, development tool or other service, the terms and privacy policy of that provider may apply to that third-party service.
The Company may change the third-party services it supports as required for the quality, security or operation of the Service.
Where personal data is provided to a third party, entrusted for processing, or transferred overseas, the Company takes the measures required by the Personal Information Protection Act and other applicable law.
A user must use the Service in accordance with applicable law, these Terms, the authority granted to them and their organisation's internal policies.
A user must maintain appropriate source code management, version control, testing and backup arrangements, having regard to their development environment and the importance of their work.
A user must appropriately protect API keys, authentication tokens, passwords and other credentials.
A Customer must appropriately configure and manage the access rights and execution policies of organisation users.
Where a user provides confidential information, personal data or other protected information to the Service, they must confirm that they have lawful authority to process that information.
A user must not use the Service to do any of the following.
The Company may restrict use of the Service to the extent necessary in any of the following cases.
The Company takes restrictive measures within a reasonable scope, having regard to the nature and gravity of the breach, the safety of the Service and the effect on the user.
Where possible, the Company informs the user of the ground for the restriction and how it may be resolved.
Where urgent action is required, such as responding to a security incident, use may be restricted without advance notice and notice given afterwards.
Where a breach of these Terms, fraudulent use, exploitation of a vulnerability, a security incident or an attack on the Service is suspected, the Company may investigate the relevant account, usage records, conversations, user content and technical information, and retain the records needed, to the extent necessary to establish the facts and respond. Specific processing of personal data follows the Privacy Policy and applicable law.
A user may terminate the service agreement by the method provided in the Service or the procedure the Company designates.
The term of a paid service, cancellation of a subscription, withdrawal of subscription and refunds are governed by applicable law and the Patty Code Refund and Subscription Policy.
Rights of withdrawal or termination granted to Consumers under applicable law are not restricted by these Terms.
Where a user breaches these Terms, the Company may require the breach to be cured within a reasonable period, and may terminate the service agreement if it is not cured within that period.
Where a serious ground makes it impracticable to maintain the contractual relationship, as in the following cases, the Company may terminate the service agreement without first requiring the breach to be cured.
The Company informs the user of the ground for termination to the extent permitted by applicable law.
Where the service agreement is terminated because of a serious breach of these Terms by the user, whether a refund is given follows applicable law and the Patty Code Refund and Subscription Policy.
The retention, return and deletion of account information, user content and service records after the service agreement ends are governed by the Privacy Policy, the individual contract with the Customer and applicable law.
Before termination, a user may back up or export the data they need, to the extent the Service supports it.
Where there is a legitimate ground such as a statutory retention obligation or the handling of a dispute, the Company may retain the relevant data for a period, to the extent necessary.
The Company may provide all or part of the Service for a fee.
The price, term, features, usage limits and other principal transaction conditions of a paid service are displayed so that the user can review them before purchase or subscription.
Where the recurring charge is increased, or a service previously provided free of charge is converted to a paid recurring subscription, the Company gives notice of the change by the procedure and within the period set out in applicable law, and obtains the user's consent where required.
The Company does not change the fee for a term already paid for to the disadvantage of the user without that user's consent.
A user may pay fees using the payment methods the Company provides.
Payments may be processed through a payment service provided by a third party, such as a payment service provider under contract with the Company.
The policies of a third-party payment service provider may apply to personal data and payment information that the provider processes directly under its own responsibility.
The Company provides the transaction conditions and payment information required by applicable law so that the user can review them before payment.
Where the Company provides a recurring subscription or automatically renewing product, the billing cycle, amount charged, renewal conditions and method of cancellation are displayed so that the user can review them before payment.
A user may cancel a recurring subscription before the next renewal by the method the Company provides.
The effect of cancellation and the period of continued use after cancellation follow the product conditions at the time of purchase and the Patty Code Refund and Subscription Policy.
Withdrawal of subscription, rescission or termination of a contract, and refunds for Consumers are governed by the Act on the Consumer Protection in Electronic Commerce and other applicable law.
Where withdrawal may be restricted under applicable law, such as because the supply of digital content or a service has begun, the Company takes the measures needed for users to be readily aware of that fact and of the matters applicable law requires.
Where the Service is provided differently from its advertising or from the terms of the contract, the rights of withdrawal, rescission, termination and damages granted to users under applicable law are not restricted.
Where the service agreement is terminated because of a serious breach of these Terms, malicious exploitation of a vulnerability in the Service, circumvention of protective measures or of the payment and billing system, unauthorised access or attack, or conduct that materially compromises the normal operation of the Service, no refund of fees already paid or of the remaining term is provided, to the extent permitted by applicable law. This does not restrict statutory withdrawal, refunds for reasons attributable to the Company, refunds for duplicate or erroneous payments, or refunds arising from an error of judgement by the Company.
The specific conditions for refunds, how to apply and the procedure followed are governed by applicable law and the Patty Code Refund and Subscription Policy that the Company posts separately.
Where a Customer that is a corporation or other business entity agrees a separate order form, enterprise agreement or other terms with the Company, that individual contract prevails as to fees, contract term, termination, refunds and settlement.
Except where expressly provided by applicable law or a separate contract, the Company does not warrant the accuracy or completeness of output, its fitness for a particular purpose, or that it is free of error.
The Company does not warrant that the Service will find or resolve every code error, security vulnerability or potential problem.
The output and suggestions of the Service do not replace the user's professional development judgement, code review, testing or security review.
The execution of code or commands may have unexpected effects depending on the user's development environment, project configuration, operating system or connected systems.
Before executing important work, a user must confirm the content and impact of that work and put in place appropriate backup and recovery measures suited to the nature of their business.
Where the Company provides reasonable approval or rights control features and the user approves work or grants execution rights through those procedures, the Company is not liable for results arising from the user's own instructions or rights configuration, absent fault on the Company's part.
Where the Company or a user causes damage to the other party by breaching these Terms or applicable law, the party at fault is liable for damages in accordance with applicable law.
Where damage arises from any of the following and the Company is not at fault, the Company is not liable for that damage.
These Terms are not a ground for excluding or unfairly limiting the Company's liability for damage caused by the Company's intent or gross negligence.
These Terms do not restrict the rights granted to Consumers under applicable law.
Where the Company and a Customer that is a business entity have concluded a separate contract on liability caps or the scope of damages, that contract applies to the extent permitted by applicable law.
Where performance becomes impossible or markedly difficult because of a natural disaster, war, terrorism, fire, a large-scale power outage, a communications network failure, a large-scale cyberattack, a governmental measure or another cause that the Company cannot reasonably control, the Company is not liable for that non-performance to the extent it is not at fault.
The Company may change these Terms to the extent this does not violate applicable law.
Where the Company changes these Terms, it notifies users through the Service or the Company website before the effective date, stating the effective date, the content of the change and the reason for it.
Where a change is unfavourable to users or materially affects their rights and obligations, advance notice is given with the period required by applicable law or a reasonably sufficient period.
Where applicable law requires the user's separate consent, the Company obtains that consent.
Where a user who does not wish the changed Terms to apply has a right to terminate under applicable law or the service agreement, the Company does not restrict that right.
Where the Company and a user or Customer have agreed individually on terms that differ from these Terms, that agreement prevails over these Terms.
A user may not assign their status or rights and obligations under these Terms or the service agreement to a third party without the Company's prior consent.
Where the Company changes the operator of the Service through a merger, division, business transfer or other corporate reorganisation, it may transfer its status or rights and obligations under the service agreement in accordance with applicable law.
Where a transfer under the preceding paragraph materially affects users' rights and obligations, the Company gives the notice required by applicable law.
Where part of these Terms is held invalid or unenforceable under applicable law, the validity of the remaining provisions is unaffected.
The laws of the Republic of Korea apply to these Terms and to the use of the Service.
Where a dispute arises between the Company and a user, the parties consult in good faith to resolve it amicably.
Jurisdiction over a dispute between a Consumer and the Company follows the Civil Procedure Act, the Act on the Consumer Protection in Electronic Commerce and other applicable law.
A dispute between the Company and a Customer that is a business entity follows any separate agreement between them; absent such an agreement, it follows the court having jurisdiction under the applicable law of the Republic of Korea.
Enquiries about these Terms or the use of Patty Code may be submitted through the official enquiry channel that the Company posts in Patty Code or at patty.io.
These Terms take effect on 1 September 2026.
